These terms and conditions of use (hereinafter referred to as the “Terms and Conditions”) govern the use that you (hereinafter referred to as the “User”) may make of the functionalities and services provided by Tropical Cloud Solutions FZE (hereinafter referred to as “Tropical Cloud FZE”) through the website https://tropicalcloudsolutions.com/ (hereinafter referred to as the “Services”).

Acceptance of Terms and Conditions
By visiting and/or using the website https://tropicalcloudsolutions.com/ (hereinafter referred to as the “Website”) and/or the Services, you expressly agree to be bound by and comply with all of these Terms and Conditions, as well as the laws and regulations applicable to the use of the Website.

THESE GENERAL TERMS AND CONDITIONS ARE OBLIGATORY AND BINDING FOR ALL VISITORS AND/OR USERS AND FORM AN INTEGRAL PART OF THE CONTRACT FOR THE PROVISION OF SERVICES OF TROPICAL CLOUD FZE, SO THAT ANY PERSON WHO DOES NOT ACCEPT THEM MUST REFRAIN FROM VISITING AND/OR USING THE WEBSITE AND/OR SERVICES.

In the event that the User violates these Terms and Conditions, Tropical Cloud FZE may without liability, and without refund, cancel its use, and exclude the User from future operations, and / or take legal action it deems appropriate to their interests.

Definitions
Unless otherwise expressly stated in these Terms and Conditions, capitalized terms used herein shall have the meanings attributed to them below:

Administrator: User of the Company that administers the other Users.
Company: Natural or legal person who contracts the services of Tropical Cloud FZE through the conclusion of the Contract for the Provision of Services Tropical Cloud FZE.
III. User Account

Only those users who are authorized by the Company Administrator can create and access their user accounts. In order to create an account they must provide the information requested in the form provided in the Contact icon on this link https://tropicalcloudsolutions.com/es/contact

The Administrator, and/or the Company may at any time restrict or cancel the User’s access to the user account.

Personal data collected by Tropical Cloud FZE will be treated in accordance with the Privacy Notice which forms an integral part of these Terms and Conditions.

The user account is personal, and not transferable. To access the user account the user must provide the Company number to which it corresponds, user and password (hereinafter the “Access Keys”). The use of the Access Keys is absolute and entire responsibility of the User, so the User must protect them and not make them available to third parties. The User will be responsible for all the User’s Content and the operations carried out from the User’s account.

Intellectual Property
The text, information, designs, logos, images, sounds, animations, recordings, and software that make up the Website, except for User-generated content, (hereinafter “FZE Tropical Cloud Content”) is the property of FZE Tropical Cloud. Tropical Cloud FZE reserves all rights in respect of FZE Tropical Cloud Content. The User acknowledges that the rights, present or future, intellectual property of the Content are the exclusive property of Tropical Cloud. The only right granted is the License of Use in accordance with these Terms and Conditions.

Tropical Cloud FZE notes that the Content Tropical Cloud FZE is protected by the laws of Dubai, as well as international conventions and treaties on intellectual property or copyright, which the User agrees to respect.

Tropical Cloud FZE does not grant any right or license to the User with respect to patents, proprietary rights, trademarks, trade secrets or any other intellectual property rights, industrial, or copyrights, other than the rights granted on the Tropical Cloud FZE Content by virtue of these Terms and Conditions.

License of Use
Tropical Cloud FZE grants the User a non-exclusive, non-transferable, personal license to use the Tropical Cloud FZE Content for the sole purpose of allowing the User to use the Services for as long as the Company to which the User belongs has contracted them, on the understanding that any use or attempt to use the Services other than the above is prohibited.

User Content
By using the Services the User will be able to enter, manage, and generate data and information in text, graphics, images, files (hereinafter referred to as “User Content”) which will be viewed by other Users of his Company in accordance with the settings set by the Administrator, and in all cases by the Administrator. Tropical Cloud FZE is not responsible for any User Content or the use of User Content by the Administrator, User, or other Users. The User is solely responsible for the User Content, and the consequences that may arise from it and its use by other Users of the Company.

VII. Prohibited Activities

The User must not:

Modify, substitute, change or in any way alter the Content of Tropical Cloud FZE.
Limit, block, impede or in any way restrict access to the Website and/or Services.
Use the Services in any manner that could interfere with, disrupt, adversely affect or inhibit other Users from fully enjoying the Services, or that could damage, disable, overburden or impair the operation of the Services in any way.
Compromise or attempt to compromise the security of the Services, hack, crack or otherwise violate the security of the Website, the Services, and/or Tropical Cloud FZE’s servers, or to gain unauthorized access in any way.
circumvent or attempt to circumvent the technical, commercial, or administrative limitations on the Services.
Generate and/or transmit User Content deemed to be offensive, defamatory, pornographic, harassing, hateful, racially or ethnically offensive, obscene, libelous, defamatory, threatening or otherwise inappropriate.
Harass, threaten, intimidate or impersonate other Users.
Use the Services for any purpose that is unlawful or not beyond the scope of their intended use.
Copy or use Tropical Cloud FZE Content in any unauthorized manner.
Develop and/or use any application of material that interacts with the Services without Tropical Cloud FZE’s prior consent.
In general, any other act of similar or analogous nature to the above that may affect the rights of third parties or Tropical Cloud FZE
Tropical Cloud FZE reserves the right to suspend and/or cancel without any refund or compensation to Users who engage in any of the activities described above.

The User acknowledges that violations of the computer system or network security may result in civil or criminal liability. Tropical Cloud FZE will investigate situations that may involve such violations and reserves the right to report such actions to the authorities; Tropical Cloud FZE will cooperate with the competent authority in the investigation of such violations under the terms of applicable law.

VIII. Responsibility

The User hereby releases from any liability, and agrees to indemnify and hold harmless Tropical Cloud FZE and its subsidiaries, controlling company, shareholders, directors, employees, officers, directors and agents against any actions, proceedings, liabilities, demands, claims, losses, liabilities, damages, costs, expenses and costs, as well as the expenses, costs and fees of lawyers and external advisors arising from or related to (i) the use of the Services; ii) the User’s Content and its use by the User, other Users of the Company and the Administrator; ii) the User’s violation of these Terms and Conditions.

Illegal or unauthorized use in accordance with these Terms and Conditions of Services will be investigated and Tropical Cloud FZE will take appropriate legal action.

Notwithstanding the foregoing, the User agrees that in any case in which any liability, whether direct or indirect, contractual or tort, is attributed to Tropical Cloud FZE, its subsidiaries, parent, shareholders, officers, employees, directors and agents, the total liability to Tropical Cloud FZE its subsidiaries, parent, shareholders, officers, employees, directors and agents, shall be limited to the amount of USD $1,000 (one thousand dollars legal tender in the United States of America).

USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS
If, at our request, you submit certain specific submissions (e.g., service survey participations) or if, without our request, you submit creative ideas, suggestions, proposals, plans or other materials, whether online, by e-mail, by mail or otherwise (collectively, “Comments”), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any media the Comments you submit to us. We are not and will not be obligated (1) to keep any comments secret; (2) to pay compensation for any comments; or (3) to respond to any comments.

We may, but have no obligation to, monitor, edit or remove content that we determine, in our sole discretion, is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable, or that violates any party’s intellectual property or these Terms and Conditions.

You agree that your comments will not violate any rights of any third party, including copyright, trademark, privacy, personality or any other personal or proprietary right. You further agree that your comments will not contain defamatory or otherwise illegal, abusive or obscene material, nor will they contain any computer virus or other malware that may affect in any way the operation of the Service or any related website. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or others as to the origin of the comments. You are solely responsible for any comments you make and their accuracy. We are not responsible or liable for any comments posted by you or any third party.
